These terms govern the use of northemberventures.com and explain how North Ember Ventures LLC agrees consulting engagements. Each engagement is governed by its own written agreement.

2. The website
The content of this website is general information about our management consulting services. It is not advice for your situation and it is not an offer that can be accepted. Images are illustrative and the sample format shown is an example, not a client case.
You may use the website for lawful purposes. Do not try to interfere with its operation or use the contact form to send unsolicited messages.
3. Services
We provide management consulting in areas such as organizational and process review; roles, priorities and follow-up; procedure documentation and implementation planning; and advisory support under a written scope. The services in each engagement are those set out in its written proposal or statement of work.
4. How an engagement is agreed
An inquiry or a first conversation does not create an engagement. Work starts only after both parties accept in writing a proposal or statement of work that defines at least:
- the deliverables and the timing;
- the information, people and decisions we depend on from your side;
- any access to your systems or documents, and how it is granted and withdrawn;
- confidentiality terms;
- the responsibilities of your management, including decisions and implementation;
- fees, expenses and payment terms;
- how the engagement can be changed, canceled or ended.
5. Recommendation, not representation
We provide analysis, recommendations and support. We do not act as your agent, officer or legal representative and we do not sign, decide or act in your name, unless a separate written agreement gives us that authority and the law permits it. Decisions, their implementation and their results remain the responsibility of your management.
6. What we do not do
Despite the word Ventures in our name, we do not manage investments, raise capital, act as a broker or hold or move client money. We do not provide regulated legal, tax, accounting or investment advice. Where you need it, consult a licensed professional.
7. Your inputs and system access
Our work depends on accurate and timely information from you. Where an engagement needs access to systems or documents, we use only the access agreed, you keep control of credentials and you can withdraw access at any time. Never send passwords through the website.
8. Confidentiality
We treat the non-public information you share during an engagement as confidential, under the terms set in the engagement agreement. Do not share confidential information through the contact form before an engagement is in place.
9. Fees and expenses
The website does not publish prices. Fees, any expenses and payment terms are set out in writing in the proposal before work begins. Third-party costs are only charged if they were agreed in writing.
10. Changes, cancellation and termination
Changes to scope are agreed in writing. Each engagement agreement sets out how either party may cancel or end it, the notice required and how work already performed and agreed expenses are paid.
11. Intellectual property
The text, design and brand of this website belong to North Ember Ventures LLC or are used with permission. Ownership of, or the license to use, deliverables is defined in each engagement agreement.
12. Liability
The website is provided as it is, for general information. For engagements, any limits of liability are set in the engagement agreement. Nothing in these terms limits liability that cannot be limited by law or removes rights that the law gives you and that cannot be waived.
13. Governing law and disputes
The governing law and the forum for disputes are to be confirmed in each engagement agreement. Before any formal step, we ask you to write to us so we can try to resolve the matter directly.
14. Changes to these terms
We may update these terms. The version in force is the one published here with its date. Changes do not alter engagements already agreed in writing.
